Terms of Service

Please read these terms and our acceptable-use policy carefully before using Dialover's dialer and VoIP services.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Dialover's ("Dialover", "we", "us", or "our") website and our outbound dialer and VoIP communications services (the "Services"). By accessing or using the Services, or by clicking to accept, you ("Customer" or "you") agree to be bound by these Terms.

This document is provided as a template and should be reviewed by qualified legal counsel before publication to confirm it reflects your operations and jurisdictions.

2. Eligibility & Accounts

The Services are offered to businesses and the professionals who represent them. You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of registration and verification (KYC) information, for keeping your credentials confidential, and for all activity under your account. Notify us immediately of any unauthorized use.

3. Description of Services

We provide cloud-based outbound dialing (including predictive, power, progressive, and preview modes), VoIP voice connectivity, SIP trunking, telephone number provisioning, and related analytics and add-on features. The Services rely on underlying carriers and the public switched telephone network, and certain features depend on third-party providers.

4. Customer Compliance Obligations

You are solely responsible for using the Services in full compliance with all applicable laws and regulations governing telephony, calling, recording, marketing, and data protection. This includes, without limitation, the U.S. Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), federal and state Do-Not-Call rules, permitted calling-time restrictions, the Truth in Caller ID Act, STIR/SHAKEN caller-ID authentication requirements, the CAN-SPAM Act, Canada's CASL, and the GDPR, ePrivacy, and other privacy laws where applicable.

Before placing autodialed, prerecorded, artificial-voice, or marketing calls or messages, you must obtain and maintain records of any legally required prior express consent (including prior express written consent where required), accurately transmit caller-ID information you are authorized to use, and immediately honor opt-out and revocation-of-consent requests.

5. Acceptable Use Policy

You agree not to use the Services to: make unlawful, fraudulent, deceptive, or harassing calls; place robocalls or send messages without required consent; violate do-not-call or suppression obligations; spoof, falsify, or illegally manipulate caller-ID or origination information; engage in phishing, vishing, fraud, scams, or unauthorized debt collection; transmit unlawful, threatening, or abusive content; or distribute malware or interfere with networks.

You may not use the Services for prohibited or high-risk content and industries to the extent restricted by us or our carriers, and you may not resell or provide access to the Services in a manner that circumvents these Terms or carrier requirements. We may monitor traffic for compliance and network integrity, and we may rate-limit, filter, suspend, or terminate traffic that violates this policy or poses legal or network risk.

6. Consent, Opt-Out & Do-Not-Call Management

You are responsible for scrubbing your calling lists against applicable internal, state, and national Do-Not-Call registries, maintaining your own internal do-not-call and suppression lists, honoring opt-out and STOP requests promptly, and ceasing contact when consent is revoked. You must retain evidence of consent and opt-out handling and provide it to us or to carriers upon reasonable request.

7. Carrier & Upstream Provider Requirements

The Services interconnect with third-party carriers and connectivity providers (for example, Twilio, Telnyx, Bandwidth, and other telecommunications partners). You agree to comply with the acceptable-use policies, messaging and voice requirements, and registration obligations of these underlying providers, including number registration, brand/campaign or CNAM registration, and traffic-vetting requirements where applicable.

You authorize us to share registration, identity, and traffic information with carriers as needed to provision and deliver the Services and to meet regulatory and anti-fraud requirements. Carriers may independently vet, filter, throttle, or block traffic, and we are not liable for actions taken by carriers or regulators in response to your traffic or non-compliance.

8. Call Recording Responsibility

If you enable call recording, monitoring, or transcription, you are solely responsible for providing all required disclosures and obtaining all consents under applicable one-party and two-party (all-party) consent laws and other recording regulations in every relevant jurisdiction.

9. Emergency Services (911) Limitations

VoIP and outbound calling services have important limitations for emergency (911/E911) calling and may not function during power, internet, or service outages, or may route emergency calls differently than traditional telephone service. The Services are not intended to be a primary means of accessing emergency services. You are responsible for maintaining an alternative means of placing emergency calls and for informing your users of these limitations.

10. Fees & Payment

Fees are described in your order, plan, or rate schedule. Usage-based charges, including per-minute, messaging, and number fees, are billed as incurred. Unless otherwise stated or required by law, fees are non-refundable. We may suspend Services for non-payment after notice.

11. Service Levels & Support

We target high availability (up to 99.99% uptime) as described in any applicable service-level agreement. Except as expressly stated in a written SLA, the Services are provided on an "as is" and "as available" basis.

12. Suspension & Termination

We may suspend or terminate access immediately if you violate these Terms or the Acceptable Use Policy, create legal, security, fraud, or network-integrity risk, or fail to pay. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

13. Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that calls or messages will always be delivered.

14. Limitation of Liability

To the maximum extent permitted by law, Dialover and its suppliers and carriers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of the Services. Our aggregate liability is limited to the amounts you paid for the Services in the twelve months preceding the claim.

15. Indemnification

You will defend, indemnify, and hold harmless Dialover, its affiliates, and its carriers and providers from and against any claims, damages, fines, penalties, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your calling or messaging campaigns and content, your violation of these Terms or the Acceptable Use Policy, or your violation of any law or third-party right, including TCPA, Do-Not-Call, caller-ID, recording, and data-protection requirements.

16. Intellectual Property

The Services, including all software, content, and trademarks, are owned by Dialover or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services per these Terms. You retain rights to your own data and content.

17. Governing Law & Disputes

These Terms are governed by the laws of the United States and the state in which Dialover is established, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located there, except where applicable law provides otherwise.

18. Changes to These Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
